Terms and Conditions

1. General & Acceptance

These Terms and Conditions apply to all use of our website, trade enquiries, quotations, orders, and supply agreements. By accessing our site, submitting enquiries, or placing orders, you confirm you are acting as a registered business/trade buyer purchasing for resale or commercial use and agree to be fully bound by these Terms. If you do not agree, do not use our website or place orders.

We reserve the right to update these Terms at any time; changes take effect immediately upon publication on this page. Continued use of the website following publication constitutes acceptance of revised terms.

2. Trade Eligibility & Account Status

Our goods are offered exclusively for business, trade, and resale purposes only—not for personal consumer use. You confirm you hold valid business registration and necessary trading permits. We may request proof of business status before sharing wholesale pricing, opening credit accounts, or confirming orders, and reserve the right to refuse service or restrict access at our discretion.

3. Pricing & Quotations

Full trade pricing, bulk discount structures, and current stock availability are provided solely via formal written quotation sent to approved trade partners following enquiry and verification of business status.

Quoted prices are valid for the specific timeframe stated in that quotation; prices may adjust in response to supplier cost increases, market shifts, or supply changes—we will communicate any revisions clearly before an order is confirmed.

All quoted prices are exclusive of VAT, which will be added at the prevailing UK statutory rate as required by law.

4. Ordering, Confirmation & Cancellation

Submitting an enquiry or placing an order constitutes an offer to purchase goods. A binding contract is only formed once we issue a formal written order confirmation via email or official business correspondence.

All orders are subject to stock availability. If items are unavailable, we will notify you promptly, offer suitable alternatives, arrange partial delivery, or provide a full refund for any paid unavailable portion.

We reserve the right to reject or cancel orders in cases of supply disruption, eligibility issues, payment concerns, or administrative error; full refunds will be issued for any payments already made in these circumstances.

Buyer-initiated cancellations are only accepted if received in writing before goods are dispatched; once dispatched, our Returns & Refunds Policy will apply.

5. Payment & Credit Accounts

  • Credit Accounts: Approved trade partners will be notified in writing of agreed payment terms (e.g., 30 days net from invoice date) and applicable credit limits, which may be reviewed periodically.

  • Prepayment Orders: New partners or those without approved credit will be required to complete full payment upfront via agreed method before goods are dispatched.

  • Late Payment: In line with the Late Payment of Commercial Debts Act 1998, overdue invoices will incur statutory interest (8% above the Bank of England base rate) plus reasonable debt recovery costs.

  • Retention of Title: Goods remain the sole legal property of [Your Company Name] until full invoice payment has cleared in full.

6. Delivery, Risk & Damages

Delivery timelines provided are estimates only. We aim to meet agreed schedules but cannot be held liable for delays caused by courier delays, supplier shortages, customs holds, severe weather, or events outside our reasonable control (Force Majeure).

Risk of loss, theft, or damage to goods transfers to your business at the point of handover to the delivery carrier or authorised collection point.

Delivery charges will be quoted alongside your order and vary according to order size, weight, and UK delivery location.

7. Product Details & Brand Use

Product images, brand names, and category descriptions are illustrative only. Manufacturers may alter packaging, colours, or specifications without notice; we do not guarantee an exact visual match to website imagery.

Reference to recognised brand names does not imply official brand partnership, endorsement, or status as an authorised distributor—we supply genuine legally sourced stock for wholesale trade only.

8. Intellectual Property

All website text, layouts, imagery, logos, and design work are the intellectual property of [Your Company Name] or used under licence. No copying, redistribution, or commercial reuse is permitted without prior written consent.

9. Liability Limitations

  • We comply fully with applicable UK commercial laws. In cases of proven faulty or non-conforming goods, our liability is limited to replacement, repair, or full refund of the invoiced product value.

  • We will not be liable for indirect or consequential losses—including lost profits, lost revenue, business downtime, or third-party customer claims—to the fullest extent permitted by UK law.

  • Nothing in these Terms limits liability for death or personal injury, fraud, or proven unlawful negligence.

10. Website & Third-Party Links

We strive to keep the website accessible and reliable but do not guarantee uninterrupted error-free browsing; temporary downtime for maintenance or technical fixes may occur.

External links are included for convenience only; we do not control, and accept no responsibility for, third-party content, privacy practices, or services.

11. Governing Law & Disputes

  • These Terms are governed by the laws of England and Wales.

  • Any dispute will first be addressed through good-faith negotiation; if unresolved, matters fall under the exclusive jurisdiction of the courts of England and Wales.
